OE21 SITE LICENSE AGREEMENT

This OE21 Site License Agreement (“Agreement”) is entered into by and between Alliance for Continuous Improvement, LLC, d/b/a AfCI LLC, a Florida limited liability company (“AfCI LLC”, “Licensor”, “we”, “us”, or “our”), and the end user or purchaser (“you”, “your”, “Licensee”, “User”, or “Customer”) of the OE21 website, services, and products (“Services”).

BY ACCESSING, REGISTERING FOR, OR USING ANY SERVICES, PRODUCTS, OR MATERIALS PROVIDED BY OE21.NET OR AfCI LLC, YOU (ON BEHALF OF YOURSELF AND, IF APPLICABLE, YOUR ORGANIZATION) HEREBY AGREE TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT ACCESS OR USE ANY OF THE SERVICES OR PRODUCTS.

1. Eligibility and Scope
(a) You represent and warrant that you have the legal authority and capacity to enter into this Agreement on behalf of yourself or your organization and to comply with its terms.
(b) Use of the Services is void where prohibited by law.

 

2. Registration and Account Security
(a) You must provide accurate and complete registration information and promptly update such information as necessary to maintain its accuracy.
(b) You agree to provide a valid primary email address for all account communications and as your organization’s LOGIN.
(c) AfCI LLC is the sole provider of initial or reset account PASSWORDS for OE21.net.
(d) You are solely responsible for maintaining the confidentiality and security of your password and account credentials.

 

3. Description of Services and Payment
(a) License Grant:
Subject to timely payment of applicable fees, AfCI LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the OE21.net website and its decision support tools (including but not limited to purchased spreadsheet models, and documents) solely for internal business or organizational purposes.

(b) Payment:
Licensee agrees to pay all applicable subscription or product fees in accordance with the published terms at the time of purchase or renewal. Access to purchased spreadsheet models requires separate purchase via third-party platforms (e.g., Shopify).

(c) Intellectual Property:
All OE21 and CE21 tools, models, surveys, and related materials are protected by United States and international copyright laws. All rights not expressly granted herein are reserved by AfCI LLC.

 

4. Notices
(a) Notices to you will be delivered via email to your provided address, via the OE21.net website, or by other reasonable means.
(b) Notices to AfCI LLC must be sent via email to crm@hpo21institute.com unless otherwise specified.

 

5. Privacy
Your use of the Services is subject to our Privacy Policy [link to Privacy Policy], which is incorporated herein by reference.

 

6. Security Obligations
You are solely responsible for activities conducted via your account. You must promptly notify AfCI LLC of any (actual or suspected) unauthorized use or security breach. Failure to notify may result in immediate suspension or termination.

 

7. Prohibited Conduct
You agree not to:

Use the Services for unlawful purposes;

Sell or give away any of our spreadsheet models and documents to other organizations or persons;

Disrupt the Services or connected networks;

Collect or misuse information about other users;

Upload or transmit harmful, objectionable, or infringing materials;

Attempt unauthorized access to accounts or systems.

Violation of this section may result in immediate termination.

 

8. Termination

AfCI LLC may suspend or terminate your access to the Services at any time, without liability, for any breach of this Agreement or at its discretion.

Upon termination, your license is immediately revoked, and you must cease all use of the OE21 website pages and content. Sections relating to Indemnification, Limitation of Liability, Governing Law, and all accrued payment obligations shall survive termination.

 

9. Third-Party Sites & Tools
AfCI LLC is not responsible for content or practices of third-party sites accessible via the Services. Your use of third-party services is governed by the terms of those third parties.

 

10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AFCI LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AFCI LLC, ITS OFFICERS, AGENTS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

 

12. Indemnification
You agree to indemnify, defend, and hold harmless AfCI LLC and its affiliates, officers, agents, employees, and successors from any claims, liabilities, damages, losses, or expenses, including attorney’s fees, arising from your use of the Services, violation of this Agreement, or infringement of any third-party rights.

 

13. Governing Law; Dispute Resolution
(a) This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

(b) Exclusive jurisdiction and venue for any action arising under or relating to this Agreement shall lie with the state or federal courts located in Florida, except that AfCI LLC, at its sole option, may elect binding arbitration under the commercial rules of the American Arbitration Association, to be held in Florida.

 

14. General Provisions
(a) If any provision of this Agreement is found unenforceable, the remainder will remain in full force.

(b) The failure of either party to enforce any right or provision shall not constitute a waiver of such right or provision.

(c) This Agreement constitutes the entire agreement and supersedes all prior understandings.

(d) Statute of Limitations: Any claim brought against AfCI LLC arising from or relating to the Services or this Agreement must be filed within one (1) year after such claim or cause of action arose.

 

15. Amendment and Modification
AfCI LLC reserves the right to modify or discontinue the Services or to modify these terms at any time. Material changes will be communicated by email and/or by prominent notice on the website. Continued use of the Services after such notice constitutes your acceptance of the amended Agreement.

By registering for, accessing, or using any part of OE21.net or AfCI LLC Services, you affirmatively acknowledge you have read, understand, and agree to be legally bound by this OE21 Site License Agreement, including all incorporated policies.
